Section Description
***This course is for Executive LLM students only*** This course examines the legal, social, and environmental responsibilities of business enterprises and participants within them, with special attention to the role of both inside and outside lawyers. The course examines long-standing debates about the legal and economic purposes of business, including
topics such as corporate social responsibility, impact investing, and the current trend embracing ESG (Environmental, Social, and Governance) management strategies and reporting metrics. Legal fiduciary duties and greenwashing risks will be covered as well. Classes will be based primarily on discussion of assigned materials, as well as in-class exercises. Some guest lecturers with specific expertise may be invited. Specific topics covered may be subject to change in response to students’ interests. Grades will be based on pre-class preparation and class participation, short writing exercises, and an in-class final presentation. There will be no final exam.
