Section Description
At the recommendation of former students, this course was increased to 3 credits to add the practical aspects of Delaware law to the theory discussions. The course will discuss the economic aspects of various current corporate law issues and their practical and doctrinal implications. Topics include financial contracting, ownership structures, conflict of interests, common ownership, hedge fund activism, takeovers, and ESG.
The course is designed for students interested in financial or economic approaches to corporate law. However, earlier knowledge of these areas is helpful but not required.
